End-user license agreement - MediaChannel

Universal End User License Agreement (EULA) for Power Automate Connectors Published by Publichannel.tv S.A. Effective Date: September 2025   1. Acceptance of Terms By installing, configuring, or using any Power Automate connector published by Publichannel.tv S.A. (“Licensor”), the user (“You”) agrees to be bound by this End User License Agreement (“Agreement”). If You do not agree to these terms, do not use the connector.   2. License Grant Licensor grants You a limited, non-exclusive, non-transferable, and revocable license to install and use the connector solely within your organization’s Microsoft Power Automate environment. This license is intended for internal company use only. The connector may not be sublicensed, resold, or made available to third parties outside your organization.   3. Ownership All intellectual property rights in and to the connector and associated documentation remain the sole property of Publichannel.tv S.A. This Agreement does not grant You any ownership rights or other interest beyond the limited license expressly stated herein.   4. Permitted Use You may:

• Use the connector to automate secure data exchange between authorized third-party platforms (e.g., QuickBooks Online, Microsoft services, or other APIs).
• Customize Power Automate flows for internal business purposes.
• Deploy the connector within your organization’s Microsoft tenant as needed for internal operations.

  5. Restrictions You may not:

• Distribute, sell, rent, lease, or sublicense any connector.
• Modify, reverse engineer, decompile, or attempt to derive source code.
• Use the connector to process or access data belonging to third parties.
• Circumvent any authentication, security mechanism, or usage limitation related to any connected service.

  6. Data Handling and Privacy Connectors published by Publichannel.tv S.A. do not store, persist, or transmit customer data outside of Microsoft Power Automate and the connected service environments. All data exchanges occur securely via HTTPS using OAuth 2.0 or equivalent authorization. Publichannel.tv S.A. does not collect, monitor, or retain customer business data. You remain responsible for complying with applicable data-protection laws in your jurisdiction.   7. Support and Contact For technical or security support, contact: ingenieria@mediachannel.net Publichannel.tv S.A. endeavors to respond to all inquiries within one business day.   8. Disclaimer of Warranties All connectors are provided “as is” and “as available.” Publichannel.tv S.A. disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. No guarantee is made that any connector will be error-free, uninterrupted, or compatible with all configurations of connected services.   9. Limitation of Liability To the maximum extent permitted by law, Publichannel.tv S.A. shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits or data, arising out of or in connection with the use or inability to use any connector, even if advised of the possibility of such damages.   10. Termination This Agreement remains in effect until terminated. It will automatically terminate if You breach any term herein. Upon termination, You must cease all use of the connector and delete any copies within your Power Automate environment.   11. Compliance with Third-Party Terms Your use of any connector is also subject to:

• Microsoft Power Automate’s Terms of Service, and
• The Terms of Service or API Terms of any third-party platform the connector integrates with.You are responsible for maintaining valid accounts with such services.

  12. Governing Law and Jurisdiction This Agreement shall be governed by and construed in accordance with the laws of the Republic of Costa Rica. Any dispute arising hereunder shall be subject to the exclusive jurisdiction of the competent courts of San José, Costa Rica.   13. Entire Agreement This Agreement constitutes the entire understanding between You and Publichannel.tv S.A. regarding all Power Automate connectors published by Licensor and supersedes any prior communications or representations, whether oral or written.   © 2025 Publichannel.tv S.A.
